JetBlue Airways said two board members departed effective Aug. 27 after Icahn Enterprises L.P. reduced its stake below a minimum ownership level required to maintain representation under a 2024 agreement.
The departures of Jesse Lynn and Steven Miller leave JetBlue’s board at 11 members, including 10 independent directors. The airline said the exits follow the terms of the agreement, which ties board seats to a minimum beneficial ownership threshold of outstanding shares.
JetBlue operates as a major carrier serving New York, Boston, Fort Lauderdale-Hollywood, Los Angeles, Orlando and San Juan, with a network spanning more than 100 destinations across the U.S., Latin America, the Caribbean, Canada and Europe. The company is executing its JetForward strategy under CEO Joanna Geraghty, who noted the contributions of the departing directors.
Icahn Enterprises, which had held a board seat through its stake, said it looked forward to JetBlue’s continued execution of the JetForward plan. The firm did not disclose the size of its current stake or the reduction that triggered the departures.
