Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) has amended its March 2025 financing agreement to eliminate obligations tied to approximately 237,615 warrants. The adjustment removes the requirement to issue 64,489 Class A common shares under remaining closings and cancels investors' rights to receive warrants exercisable for roughly 173,126 additional shares.
The amendment, disclosed in a Form 8-K filed on August 21, 2026, follows negotiations concluded in December 2025 and was signed by all five investors from the original March 21, 2025, funding round. The company also implemented a partial transfer of investment commitments and revised remaining closing arrangements as part of the restructuring.
The move is expected to reduce maximum potential dilution from the March 2025 financing by nearly 40%, based on the current stock price and a minimum conversion price of $5. Executive Chairman Jerry Wang stated the amendment reflects the company's commitment to restoring shareholder value.
Faraday Future, a California-based firm specializing in AI-driven robotics including automotive applications, did not disclose further financial terms of the amendment.
