Visa Inc. Chief Executive Ryan McInerney sold 5,875 Class A common shares on August 21 for a total of $2.16 million, according to a regulatory filing. The shares were disposed at $367.87 each, while McInerney simultaneously exercised employee stock options to acquire the same number of shares at $134.76 per share, costing $791,715. Both transactions were executed under a Rule 10b5-1 trading plan McInerney established on May 22.
Following the sale and exercise, McInerney holds 15,174 Class A shares directly and 265,168 shares indirectly through the Ryan and Angela McInerney Trust. The exercised options originated from a grant dated November 19, 2018, with vesting occurring in three equal annual installments and an expiration set for November 19, 2028. After the transaction, McInerney retains 64,624 unexercised stock options.
Visa’s stock rose to $382.41 after the transaction, roughly 1% below its 52-week high of $383.43. InvestingPro data indicates the company remains overvalued relative to its fair-value estimate, with 11 additional valuation and performance recommendations listed.
Corporate developments included Visa’s addition of Hims & Hers Health to its Acquirer Monitoring Program due to a rise in customer credit-card disputes tied to its weight-loss subscription business. The company now faces an estimated $75,000 in additional fees at $8 per dispute. Visa also expanded its partnership with Repay Holdings Corporation, enabling the latter to resell Visa Platform Connect and offer direct access to VisaNet and the payment ecosystem to independent sales organizations and software vendors.
Analysts at Piper Sandler raised Visa’s price target to $430 while maintaining an overweight rating, citing growth in artificial intelligence. Bernstein projected that Mastercard may modestly outperform Visa in revenue growth through 2027, driven by Mastercard’s value-added services. Bank of America expects a 0.4% decline in July retail sales excluding autos, attributing the drop to the shift of Amazon Prime Day from July to June.
