British Smaller Companies VCT launches up to £40m share offer

British Smaller Companies VCT plc and its sister vehicle British Smaller Companies VCT2 plc have opened a share offer for new ordinary shares. The combined target is up to £40 million for the 2026/27 tax year, with an over‑allotment facility that could raise an additional £20 million.

Applications received through financial intermediaries or advisers will be subject to a 3.0% manager fee on the amount remitted, while direct applications from investors will incur a 3.5% fee. The fee structure is classified as a related‑party transaction under UK Listing Rule 8.2.1R. Howard Kennedy Corporate Services LLP, the sponsor of both entities, has stated that the arrangements are fair and reasonable for shareholders.

The offer opened on 23 September 2026, with application processing slated to begin on 30 September 2026. Submissions must be received by 31 March 2027, or earlier if the issue is fully subscribed.

A prospectus outlining the use of proceeds and the allocation between the two VCTs is available on the companies’ website (www.bscfunds.com) and for inspection at the National Storage Mechanism.
