BrenX Settles EIB Debt for €1.1M, Erasing $4.8M Facility

BrenX Ltd (NASDAQ: BRNX) has settled a debt obligation with the European Investment Bank (EIB) for an initial payment of €1.1 million, eliminating approximately $4.8 million from a credit facility originally established in March 2021.

Based on the company's June 30, 2026 balance sheet, the settlement is estimated to reduce total liabilities from approximately $8.9 million to roughly $4.1 million — a decrease of about 54%. Shareholders' equity is projected to rise from approximately $4.6 million to about $8.2 million, representing a 77% increase.

The transaction is expected to generate income of approximately $3.6 million for BrenX. The figures assume an exchange rate of €1.14 per $1.00 and no qualifying change-of-control or asset-disposition events during the contingent-payment window.

Under the terms of the agreement, BrenX must make an additional cash payment of €2.9 million to the EIB if it completes certain change-of-control transactions, dispositions of businesses, subsidiary shares, assets, or intellectual property within one year of the initial payment. Upon satisfaction of closing conditions, the existing finance contract and related equipment and receivables pledge agreement will be cancelled and associated security released.

The settlement follows a waiver announced on July 24, 2026, under which the EIB deferred an approximate $1.7 million payment that had been due on July 28, 2026.

BrenX, based in Rosh Haayin, Israel, provides thermal energy storage and integrated industrial energy solutions. The company said it is expanding from primarily manufacturing and selling thermal energy storage systems into developing an integrated industrial energy platform.

"We believe that this settlement marks an important financial and strategic milestone for BrenX," Chief Executive Officer Nir Brenmiller said. "Based on our current analysis, the agreement has the potential to significantly strengthen our balance sheet, reduce our liabilities and provide us with greater financial flexibility."
