Jay W. Roth, chairman, CEO and 10% owner of Venu Holding Corp, purchased 2,100 shares of common stock on Aug. 31, 2026, for approximately $4,000 at a price of $1.9048 per share.
The transaction was disclosed in an SEC Form 4 filing signed on Sept. 2, 2026. Roth’s direct holdings total 9,274,964 shares, while he holds an additional 62,500 shares through the JWR Living Trust and 999,720 shares via the KMR Living Trust, of which he serves as trustee.
The purchase follows a 85% decline in the company’s stock over the past year, with shares recently trading near a 52-week low of $1.75. Venu Holding reported a Q2 2026 net loss of $0.29 per share on revenue of $4.8 million, missing analyst expectations by $0.08.
Total assets rose 38% to $511.8 million year-over-year, driven by construction and property expansion. The company highlighted cumulative FireSuite sales exceeding $285 million since launch and secured over $150 million in C-PACE financing for two major projects.
Operational milestones include the upcoming opening of a Broken Arrow location within 90 days and a planned McKinney site launch in March 2027. Venu Holding’s asset pipeline is projected to add roughly $600 million in assets by early 2027.
