UBS Accepts $7.93B in Tendered Notes, Upsizes Maximum Purchase to $5.85B

UBS Group AG announced the results of its nine concurrent cash tender offers for outstanding senior notes and confirmed it has increased the maximum purchase consideration from $4 billion to $5,849,096,719.81.

The offers, made under an offer to purchase dated September 2, 2026, expired at 5:00 p.m. Eastern time on September 10, 2026. Settlement is scheduled for September 14, 2026.

According to D.F. King Co., Inc., the information agent for the offers, $7,933,623,300 in combined aggregate principal amount of notes was validly tendered and not withdrawn by the expiration date. All any-and-all notes were accepted for purchase, and the maximum purchase condition was satisfied across all nine series following the upsizing.

For non-USD notes, U.S. dollar equivalents were calculated using exchange rates as of 10:00 a.m. Eastern time on September 10, 2026, from Bloomberg BFIX: GBP/USD at $1.35158 and EUR/USD at $1.16126.

Key tender details by series included £634,341,000 accepted for the 7.375% fixed-rate reset senior callable notes due 2033 (priced at £1,084.82 per £1,000), $186,312,000 for the 6.442% fixed/floating-rate senior callable notes due 2028 ($1,014.38), and $1,072,787,000 for the 4.282% senior notes due 2028 ($999.99). Among the maximum-purchase-series offerings, acceptance included $100,784,000 of the 9.016% notes due 2033 ($1,186.61), $233,791,000 of the 6.537% notes due 2033 ($1,056.05), €1,383,531,000 of the 7.750% fixed-rate reset notes due 2029 (€1,060.78), $1,573,488,000 of the 3.869% senior notes due 2029 ($989.66), £309,672,000 of the 2.125% fixed-rate reset notes due 2029 (£938.67), and $1,883,913,000 of the 4.194% senior notes due 2031 ($970.44).

Holders of accepted notes will receive the applicable total consideration in cash on the settlement date, plus accrued coupon payments. Interest will cease to accrue on accepted notes as of the settlement date.

UBS Investment Bank served as dealer manager for the offers. D.F. King Co., Inc. acted as information agent and tender agent for USD-denominated notes, while UBS AG served as tender agent for non-USD notes.
