RB Global lifts share buyback limit to $1 billion

RB Global lifts share buyback limit to $1 billion

RB Global Inc. said the Toronto Stock Exchange has approved an increase to its normal course issuer bid, allowing the company to repurchase the lesser of 14,224,129 common shares or $1 billion in value. The expanded limit is expected to become effective Wednesday and will remain in place until March 17, 2027, unless the program is completed or terminated earlier.

The company, which trades on the NYSE and TSX under the symbol RBA and is based in Westchester, Illinois, launched the original issuer bid on March 18, 2026. That program capped repurchases at the lesser of 10,000,000 shares or $500 million. The new limit represents about 10% of RB Global's public float as of March 6, 2026, compared with about 7% under the original authorization. As of that date, the company had 185,924,928 shares outstanding and a public float of 142,241,292 shares.

As of Thursday, RB Global had repurchased 5,363,497 shares under the program at an average price of about $93.22 per share. All repurchased shares are to be cancelled. The company may buy up to 75,349 shares on any single TSX trading day, equal to 25% of the average daily trading volume for the six months ended February 28, 2026.

Purchases may be made through the TSX, the New York Stock Exchange, or alternative trading systems in Canada or the United States. An automatic repurchase plan may also be used to permit a broker to buy shares during restricted periods. RB Global operates an omnichannel marketplace for commercial assets and vehicles through a global network of auction sites and a digital platform, serving customers in automotive, construction, commercial transportation and other asset classes.
