First Hydrogen Secures 60% in Robotics Tech Firm

First Hydrogen Corp., a Vancouver-based company specializing in zero-emission vehicles and green hydrogen production, has finalized a definitive agreement to acquire a 60% stake in Exodus Actuation Solutions Inc., a robotics technology firm. The transaction, subject to TSX Venture Exchange approval, will integrate Exodus’s patented actuation, gearbox, and motor technologies into First Hydrogen’s broader portfolio of autonomous systems and industrial robotics solutions.

Under the terms, First Hydrogen will issue two million common shares in two installments and provide $2 million in upfront financing for technology development. Exodus Actuation Solutions, which holds 26 issued patents and 10 pending patents across robotics, automotive, and packaging applications, has delivered over 500 motors and gearboxes to clients in robotics, automotive, and material handling sectors. The company’s technologies are designed for humanoid and industrial robotics, robotic arms, collaborative robots, and automated manufacturing systems.

First Hydrogen’s wholly owned subsidiary, First Humanoid Corp., will leverage Exodus’s IP to advance its focus on AI-powered autonomous robotic platforms. The acquisition aligns with First Hydrogen’s broader strategy to expand its capabilities in green hydrogen infrastructure and autonomous systems, positioning the firm at the intersection of energy transition and next-generation robotics. The transaction underscores the growing convergence between hydrogen-based mobility solutions and AI-driven automation, a trend expected to accelerate in both industrial and commercial sectors.

The deal reflects a strategic move to diversify First Hydrogen’s technology portfolio beyond its core hydrogen fuel-cell vehicles, which have completed 6,000 kilometers of testing in the UK. The company’s light commercial hydrogen vehicles remain a key focus, but the acquisition of Exodus’s robotics expertise will enable broader applications in autonomous logistics, manufacturing, and service robotics.

A third-party finder’s and consulting fee will be paid in accordance with TSX Venture Exchange policies, ensuring compliance with regulatory requirements for venture exchange transactions.

First Hydrogen’s TSX Venture Exchange-listed shares (TSXV: FHYD, OTC Pink: FHYDF, FSE: FIT) will see an additional layer of technological depth as the company integrates Exodus’s IP into its existing AI and autonomous systems initiatives.
