Burford Capital has priced a $300 million private offering of senior secured notes at an 8.000% interest rate, with maturity in 2029. The notes are issued by Burford Capital Global Finance LLC and guaranteed by Burford Capital Limited, a global finance and asset management firm focused on law, litigation finance, risk management, asset recovery and legal finance activities.
The offering is secured by substantially all assets of Burford Capital Global Finance LLC and the capital stock of certain subsidiaries, subject to exceptions. Net proceeds, together with cash on hand, will be used to redeem the company's existing 6.250% senior notes due 2028.
The notes are being offered only to qualified institutional buyers under Rule 144A of the Securities Act or to non-U.S. persons outside the United States under Regulation S. Purchasers must also be qualified purchasers under the Investment Company Act of 1940, and the notes have not been registered under the Securities Act of 1933.
The company said on Sept. 14, 2026, that the transaction is expected to close on Wednesday, subject to customary closing conditions. Burford Capital is listed on the New York Stock Exchange and the London Stock Exchange under the ticker BUR.
