Axogen Inc., a NASDAQ-listed developer of nerve repair technologies based in Alachua and Tampa, Florida, will acquire BioCircuit Technologies Inc. for $200 million in cash, with an additional $1 million held back pending post-closing adjustments. The deal is expected to close in the fourth quarter of 2026 and is structured to fund the acquisition through proceeds from Axogen’s upcoming public stock offering. BioCircuit, headquartered in Atlanta, Georgia, specializes in medical devices, including its FDA-approved NerveTape, designed for sutureless peripheral nerve repair—a technology intended to enhance surgical precision and patient outcomes in nerve reconstruction procedures.

The acquisition is positioned to drive accretive growth in Axogen’s revenue, adjusted EBITDA margin, and earnings per share (EPS) in the first year post-close, while maintaining positive free cash flow. Michael Dale, President and CEO of Axogen, emphasized the strategic rationale: ‘This acquisition advances our mission to restore health and improve quality of life by making restoration of peripheral nerve function an expected standard of care.’

The deal is supported by notable investors, including the National Institutes of Health (NIH), Alsora Capital, and GRA Venture Fund. Financial advisors include BofA Securities for Axogen and Piper Sandler for BioCircuit, with legal counsel provided by Foley Hoag and Jones Day, respectively. The transaction remains subject to customary closing conditions, including the completion of BioCircuit’s spin-out of its electronics R&D business.

Axogen anticipates revisiting its full-year 2026 financial guidance following the deal’s closure, though no immediate adjustments to existing projections are expected. The acquisition underscores Axogen’s expansion into advanced medical devices, aligning with its focus on improving surgical outcomes in nerve repair and related therapeutic areas.
