Vertiv Holdings Co. agreed to acquire UtilityInnovation Group, known as UIG, in a cash-and-earnout deal valuing the microgrid specialist at up to $2.6 billion.
The transaction includes an initial cash payment of approximately $1.45 billion at closing, with an additional contingent consideration of up to $1.15 billion payable over 12- and 24-month periods based on UIG’s EBITDA performance. The upfront price represents about 13 times UIG’s projected EBITDA for 2027, according to company disclosures.
Vertiv, headquartered in Columbus, Ohio, expects the acquisition to be accretive to adjusted earnings per share in the first year following completion, pending regulatory approvals and standard closing conditions. The deal is slated to close in the fourth quarter of 2026.
UIG, founded in 2020 and headquartered in Raleigh, North Carolina, specializes in microgrid solutions, advanced energy controls, and behind-the-meter power architecture for data centers. Its proprietary controls platform and pre-engineered microgrid panels enable real-time orchestration of multiple power sources. The acquisition adds microgrid controls, local generation orchestration, microgrid-specific distribution panels, and behind-the-meter power architecture to Vertiv’s portfolio.
J.P. Morgan Securities LLC is serving as financial advisor to Vertiv, while Morgan Stanley & Co. LLC is advising UIG on the transaction.
Vertiv CEO Gio Albertazzi said the deal strengthens its ability to support data center operators, particularly those deploying AI infrastructure, by accelerating deployment timelines from site selection to operational readiness.
