British market-intelligence firm RedCloud Holdings plc (NASDAQ: RCT) sold 7.2 million unregistered ordinary shares to insiders for gross proceeds of approximately $1.8 million, according to a filing dated Aug. 27, 2026.
The transaction priced shares at $0.25 each, a 24% premium to the closing price on Aug. 26, the company said. Christina Byland, the company’s largest shareholder, acquired 4.7 million shares, while Dr. Nikolaus Senn, a shareholder and board member, purchased 2.5 million shares. The issuance was completed on the same day as the announcement.
RedCloud provides market intelligence and trading infrastructure to the fast-moving consumer goods sector. The sold shares were issued through a restricted offering and remain unregistered under the U.S. Securities Act of 1933 and applicable state securities laws.
Justin Floyd, CEO of RedCloud, said the deal reflects "a lasting vote of confidence in our vision" from the company’s largest shareholders.
