Origen Resources Secures 70% Stake in Brazil’s REE Project with $200M Share-Issue Deal

Origen Resources Inc. (CSE: ORGN, FSE: 4VXA) has finalized a deal to acquire a 70% interest in the Campo de Cima rare earth elements (REE) project in northeastern Brazil, covering a 33,075-hectare area within Piauí and Bahia states. The vendor retains a 2% royalty, with 1% purchasable for $1.5 million prior to commercial production. The transaction includes an initial $100,000 payment and issuance of 2 million shares upon signing, with a second $100,000 payment and 4 million shares due on the second anniversary. Following due diligence and exploration—requiring $1.5 million in expenditures within two years—the parties will form a 70/30 joint venture. Preliminary soil sampling revealed an anomalous REE deposit spanning approximately 4 kilometers by 6 kilometers, with peak values of 282 parts per million (ppm) TREO+Y. Seven of 33 samples showed elevated concentrations, suggesting a lateritic profile hosted within the Rio Preto Group, akin to Brazil’s Serra Verde deposit. Technical oversight was provided by John Harrop, a qualified person under NI 43-101, and analysis was conducted by SGS Geosol.
