NewGenIVF has restructured its outstanding convertible notes, eliminating a provision that previously required proceeds to be allocated toward debt service.
The company said the amendment adjusts the terms of its convertible notes due 2026, removing the automatic sweep of proceeds that had been mandated under the original agreement. The restructuring does not alter the principal amount or maturity date of the notes.
The move follows a broader review of the company’s capital structure, aimed at providing greater financial flexibility. NewGenIVF did not disclose the rationale for the change beyond stating that it aligns with current operational and strategic objectives.
Convertible notes remain convertible into equity at a fixed conversion ratio, subject to standard terms. The amendment is expected to take effect immediately, pending final regulatory approvals where required.
NewGenIVF operates a network of fertility clinics and related healthcare services, with the convertible notes previously used to fund expansion initiatives. The company has not provided an updated outlook on its financial performance following the restructuring.
