Green Circle Decarbonize Technology Limited said its authorized share capital rose to $5 million from $50,000, effective August 14, 2026, following board approvals on July 17 and August 6.
The company, listed on NYSE American under the ticker GCDT, re-designated its capital into 4,993,640,000 Class A ordinary shares and 6,360,000 Class B ordinary shares, both with a par value of $0.001. All existing ordinary shares were converted to Class A on a one-for-one basis.
The capital restructuring included the repurchase of 6.36 million Class A ordinary shares from two shareholders. Joyful Star Limited received 5.28 million Class B ordinary shares as consideration for its 5.28 million Class A shares, while Green Circle Limited received 1.08 million Class B shares for its 1.08 million Class A shares.
Class A shares carry one vote per share, whereas Class B shares confer 50 votes each. The company amended its memorandum and articles of association to formalize the new share structure.
Green Circle Decarbonize operates through its Hong Kong subsidiary, Boca International Limited, which develops and manufactures Phase Change Material storage systems for cooling and heating applications.
