The transactions were conducted at a fixed price of $11.50 per share across all entities involved. On August 20, J.H. Whitney VII, L.P. sold 10.11 million shares for $116.3 million, while PSA Healthcare Investment Holding LLC disposed of 957,918 shares for $11.0 million. Additional sales that day included 1.81 million shares by JHW Iliad Holdings LLC and 1.43 million shares by PSA Iliad Holdings LLC, totaling $20.9 million and $16.4 million respectively. JHW Iliad Holdings II, LLC sold 190,130 shares for $2.2 million. On August 21, PSA Healthcare Investment Holding LLC sold an additional 2.25 million shares for $25.9 million under an option tied to an underwritten secondary offering.
Following the sales, Aveanna Healthcare’s stock price rose to $13.70, a near 19% increase from the $11.50 sale price. The shares had previously reached a 52-week high of $13.98. The company raised its full-year outlook following the results, with EBITDA exceeding expectations by 16%. Analysts have also revised price targets upward: Raymond James increased its target to $15.00 from $13.00 with a Strong Buy rating, while RBC Capital raised its target to $16.00 from $10.00, citing an upcoming California private duty nursing rate increase scheduled for January 2027. The secondary offering involved 15 million shares of common stock by selling stockholders, with underwriters holding a 30-day option to purchase an additional 2.25 million shares.
