Shareholders of Synairgen Limited approved a special resolution to put the company into members' voluntary liquidation. The resolution passed with 99.95% of votes in favor, representing 965,052,834 votes for and 510,853 votes against.
The company’s issued share capital as of September 7 consisted of 1,102,660,697 ordinary shares, each with a nominal value of one pence and carrying one voting right.
Mark Smith and Jonathan Bass of Menzies LLP were named joint liquidators for both Synairgen Limited and its subsidiary, Synairgen Research Limited. The liquidators are authorised to exercise powers under the Insolvency Act 1986, including realising and distributing assets, and their remuneration will be based on time spent by them and their staff.
Company books and records will be retained by the company secretary for twelve months after dissolution, except for financial and trading records, which must be kept for a minimum of six years after the liquidators vacate office. The circular and notice of the general meeting were first published on August 20, 2026.
