Goldgroup Mining Inc. (TSXV:GORO, NYSE American:GORO) disclosed a non‑brokered private placement offering of up to 20,547,945 units priced at $3.65 per unit. Each unit comprises one common share and one half of a common share purchase warrant. The transaction is expected to generate up to $75 million in gross proceeds, of which about $60 million has already been committed by investors.
The warrants attached to the units give holders the right to purchase additional common shares at $5.10 per share for 18 months after closing. If all 10,273,972 warrants are exercised, Goldgroup could receive an extra $52.4 million in gross proceeds.
Investors include entities affiliated with Trafigura, Fiscal Wisdom, Calu Opportunity Fund and two other institutional natural‑resource funds, as well as potential participation by insiders, which would be treated as a related‑party transaction under Canadian securities rules (MI 61‑101).
The offering is slated to close on or about September 30, 2026, with a statutory hold period of four months and one day under Canadian law. Goldgroup may pay a cash commission of 5 % of gross proceeds to eligible finders who introduce subscribers.
Proceeds are earmarked for working capital, advancing the company’s existing mining portfolio, pursuing new mining opportunities, and funding potential property acquisitions or merger‑and‑acquisition activity. The company operates the Don David Gold Mine in Oaxaca and the Cerro Prieto Gold Mine in Sonora, Mexico, and is advancing the San Francisco Gold Project in Mexico and the Back Forty Project in Michigan.
The placement is subject to conditional approval from the TSX Venture Exchange and final approval by NYSE American LLC.
