Literacy Capital Moves to Main Market Listing on September 11

Literacy Capital plc is transferring its listing to the Closed-Ended Investment Funds category of the Financial Conduct Authority’s Official List, with unconditional trading set to begin at 8:00 am on September 11, 2026.

The move shifts the company from the Specialist Fund Segment of the London Stock Exchange’s main market to the broader Official List. The firm stated the transition is part of a strategy to enhance marketability and improve investor access to its shares, which trade under the ticker BOOK.

To satisfy the FCA’s eligibility criteria for admission, Literacy Capital formalized its investment policy, which is available on the company’s website. The UK-based investment trust focuses on investing in private UK businesses.

Post-admission, the company will be required to fully comply with applicable UK Listing Rules provisions covering related party transactions, financial reporting, shareholder circulars, and other continuing obligations. Under the Specialist Fund Segment, it had complied only voluntarily with certain provisions.

Leadership changes accompany the transition. Dawn Marriott, who joined the board in February 2026, has been appointed independent non-executive chair ahead of admission. The change satisfies UK Listing Rule 11.2.12R(1), which mandates that the board chair must be independent upon admission.

Paul Pindar is stepping down as chair but will remain a non-independent non-executive director on the board.
