Ingram Micro Holding Corp. (NYSE: INGM) announced that an affiliate of Platinum Equity has priced a secondary public offering of its common stock at $27.25 per share.
Ingram Holdco, LLC, an affiliate of Platinum Equity, is selling 13,125,000 shares in the offering, according to a Securities and Exchange Commission filing. Goldman Sachs & Co. LLC is acting as underwriter. The prospectus also includes a 30-day option for the underwriter to purchase up to an additional 1,968,750 shares at the public offering price, less underwriting discounts and commissions.
All net proceeds from the sale will go to Ingram Holdco. Ingram Micro itself is not offering any shares and will not receive any proceeds from the transaction. The offering is being registered through an automatic shelf registration statement on Form S-3 filed with the SEC.
Concurrently with the offering, Ingram Micro has authorized a repurchase of 625,000 shares from the underwriter at $27.25 per share — the same price agreed upon with the selling stockholder. The company expects to fund the buyback using cash on hand, and the underwriter will receive no compensation for the repurchase. The share repurchase is conditioned on the closing of the offering, but the offering's closing is not conditioned on the repurchase.
The transaction is expected to settle and close on or about Thursday, subject to customary closing conditions. The filing was published by the company on September 8, 2026.
