Goodwin PLC has said its board is in advanced discussions to sell a substantial portion of its Mechanical Engineering division to funds advised by Cerberus Capital Management.
The proposed transaction would cover Goodwin Steel Castings, Goodwin International, Noreva, Easat Group and Pumps. Goodwin said the expected consideration is approximately £1.1 billion in cash, subject to customary closing adjustments.
Rothschild & Co is acting as financial adviser to Goodwin. The bank is authorized and regulated by the Financial Conduct Authority in the United Kingdom.
The announcement updates a strategic review that Goodwin disclosed on August 7, 2026. The company secretary, Jenny Martin, authorized the release of the information. Goodwin said the matter is inside information under the Market Abuse Regulation (EU) No. 596/2014.
The board said discussions remain ongoing and that there is no certainty a transaction will be completed or what the final terms might be. The announcement was published on September 9, 2026.
