Zenta Group Company Limited, a Cayman Islands holding company operating in Macau, furnished a Form 6-K to the U.S. Securities and Exchange Commission on September 16 reporting the share count following the completion of its acquisition of ZentoAI Intelligent Technology Company Limited.
The acquisition closed on September 11, when Zenta Group issued 12,278,340 Class A ordinary shares to selling shareholders as consideration for 100% of ZentoAI's issued and outstanding shares. As of that date, Zenta Group reported a total of 24,087,179 ordinary shares issued and outstanding, comprising 17,719,499 Class A shares traded on the Nasdaq Capital Market under the symbol ZTG and 6,367,680 Class B ordinary shares that are not listed but convertible into Class A shares on a one-for-one basis.
