Utah Medical Products Inc.’s Femcare unit has acquired Orion Medical Supplies Ltd., a UK-based assembler and distributor of harm reduction medical devices, for £3.6 million in cash. The transaction, funded from Utah Medical’s reserves, is expected to add approximately $6 million to the company’s consolidated annual sales.
Orion, a private UK company established in 2008, specializes in devices aimed at reducing blood-borne virus transmission and other health risks associated with drug use. The acquisition aligns with Femcare’s strategy to leverage its existing distribution network in the UK and Europe, where its proprietary medical devices are already accepted by healthcare providers, including the National Health Service.
Utah Medical CEO Kevin Cornwell described the deal as a strategic fit, noting that Orion’s products serve a specialized niche with growth potential. While the acquired devices do not directly complement Utah Medical’s core product lines, the company expects operational efficiencies by integrating Orion’s operations into its facilities in Romsey, UK, following a transition period.
The acquisition does not introduce significant new product synergies but is projected to reduce overhead expenses as a percentage of UK sales through existing infrastructure. Utah Medical plans to disclose additional risk factors related to the deal in its upcoming SEC 10-Q filing for the third quarter of 2026, due by October 15.
