Banco Santander S.A. issued 329.8 million new ordinary shares at €0.50 each to fund its acquisition of Webster Financial Corporation, the Spanish lender said on Wednesday.
The capital increase, approved by Santander’s shareholders on March 27, 2026, will provide €164.9 million in proceeds to support the deal. The new shares were priced at a 5.8% discount to the closing price of €0.53 on Tuesday, reflecting standard market practice for such issuances.
Santander’s total issued share capital now stands at 15.02 billion ordinary shares, each with a nominal value of €0.50. The bank holds 518.6 million treasury shares, which carry no voting rights, leaving a total of 14.5 billion voting shares outstanding as of Wednesday.
The new shares are expected to begin trading on the London Stock Exchange’s Main Market for listed securities at or before 8:00 a.m. London time on August 26, 2026, under the International Commercial Companies Secondary Listing category. The Financial Conduct Authority’s Disclosure Guidance and Transparency Rules will apply to shareholder notifications based on the 14.5 billion voting-rights denominator.
