The Real Brokerage Inc. and RE/MAX Holdings, Inc. have completed their merger, creating Real REMAX Group Inc., a Miami-based global real estate platform. The new entity’s shares began trading on the Nasdaq Global Select Market under the ticker REAX on Tuesday.
Shareholders of The Real Brokerage received one share of Real REMAX Group common stock for each Real share held, following a 10-for-1 share consolidation. RE/MAX Holdings stockholders received either 0.515 shares of Real REMAX Group common stock or approximately $4.33 in cash plus approximately 0.3535 shares per RE/MAX Holdings Class A common share, subject to election and proration mechanics.
The combined company operates as a technology-enabled global real estate platform, offering brokerage, franchising, and ancillary services. It employs more than 180,000 agents worldwide, with over 100,000 based in the U.S. and Canada. The platform serves markets across more than 120 countries and territories.
Tamir Poleg, chairman and CEO of Real REMAX Group, stated that the merger represents a milestone in building a technology platform to empower real estate professionals and enhance consumer experiences.
The transaction was advised by Morgan Stanley for Real and J.P. Morgan for RE/MAX Holdings. Legal counsel included Willkie Farr & Gallagher LLP and Gowling WLG (Canada) LLP for Real, and Morrison & Foerter LLP and McCarthy Tétrault LLP for RE/MAX Holdings.
