Prime Drink Group Corp. said it has signed a non-binding letter of intent with 9435-7639 Québec Inc., trading as GefCo under Les Entreprises du Groupe Geloso, to form a jointly owned company for the Beach Day Every Day (BDED) beverage brand.
Under the proposed structure, Prime will contribute BDED assets while Geloso will manage operations and business development across Canada outside Quebec, the United States and Europe. Mr. Aldo Geloso will lead the new entity, according to the terms outlined in the agreement.
The parties intend to establish an equal partnership and grant Geloso exclusive rights for distribution, co-manufacturing, commercial representation, pricing and bottling in the designated territories for an initial five-year term. Finalization remains contingent on Geloso completing due diligence on the BDED business, Prime’s acquisition of Prime Capital Investments Inc.—announced on August 26, 2026—and securing third-party consents and definitive distribution agreements.
Geloso, a family-owned Quebec-based beverage company with more than 60 years in the sector, operates over 50 brands and 250 products. The group employs more than 500 people and maintains production facilities in Canada, the United States and Europe.
Prime Drink’s shares closed at 0.09 Canadian dollars on August 26, up 70% from the prior session.
