Northern Oil and Gas priced $500 million of 7.5% senior notes due 2034 at par, the company said. The offering, structured as a private placement under Rule 144A and Regulation S, targets qualified institutional buyers and non-U.S. investors.
The notes are expected to close on August 26, 2026, subject to customary conditions. Proceeds will repay a portion of the company’s outstanding borrowings under its revolving credit facility, with any remaining funds allocated to general corporate purposes.
Based in Minneapolis, Northern Oil and Gas is the largest publicly traded non-operator in the U.S., acquiring non-operated minority working interests and mineral rights across North American basins. The notes are listed on the NYSE under ticker NOG.
