Noah Holdings Limited announced the appointment of Tianjing Zhang as an independent director to its board, effective Friday. The move follows the retirement of Cynthia Jinhong Meng, whose departure is not attributed to any disagreement with the company.
David Zhang, already serving as an independent director since June 2024 under U.S. regulations, has been re-designated as an independent director under Hong Kong Listing Rules, also effective Friday. The re-designation follows an independence assessment under Rule 3.13 of the Hong Kong Listing Rules.
Concurrently, the company disclosed updates to its committee compositions. The Audit Committee will now be chaired by Xiangrong Li, with David Zhang and Tianjing Zhang as members. The Compensation Committee remains chaired by May Yihong Wu, with Boquan He and Xiangrong Li as members. The Corporate Governance and Nominating Committee is chaired by Jingbo Wang, with May Yihong Wu and David Zhang as members.
Tianjing Zhang brings nearly two decades of experience in cross-border disputes, regulatory investigations, and compliance. He currently serves as Head of International Business at HOZU Capital, having previously practiced at Kirkland & Ellis International LLP and led its Shanghai office from January 2012 to April 2025. Zhang holds a Juris Doctor degree from The University of Texas School of Law and is admitted to practice law in California.
David Zhang retired from Kirkland & Ellis in January 2024, a period exceeding the two-and-a-half-year threshold required for independence under Hong Kong Listing Rules.
Noah Holdings, which provides wealth management services primarily to Chinese high-net-worth investors, reported 469,987 registered clients and RMB 140.9 billion in assets under management through its asset management units as of June 30, 2026.
