Kairos Pharma, Ltd. announced plans to conduct a 1-for-7 reverse stock split, consolidating every seven common shares into one, effective at 12:01 a.m. ET on September 1, 2026. Trading will begin under the adjusted share price at the market open on the same date.
The reverse split will not alter the company’s authorized share count or par value, which remains at $0.001 per share. Kairos Pharma will continue to trade under the existing NYSE American ticker symbol KAPA, though the security will receive a new CUSIP number, 48301N203.
Vstock Transfer, LLC will serve as the transfer and exchange agent, while The Depository Trust Company (DTC) will handle the adjustment for shares held through its system. Fractional shares will not be issued; instead, entitlements will be rounded up to the nearest whole share at the DTC participant level or by the respective broker, bank, or nominee for direct holders.
The corporate capital structure will be proportionately adjusted to reflect the split. Conversion rates for outstanding convertible notes, the number of shares issuable upon exercise of warrants, and the quantity of shares subject to equity awards under the company’s incentive plans will all be recalibrated accordingly. Stockholders’ proportional ownership and voting power will remain unchanged, aside from the rounding of fractional shares.
Kairos Pharma, a clinical-stage biopharmaceutical firm developing oncology therapeutics, stated the reverse split aims to reduce the number of outstanding shares and increase the per-share trading price to support continued compliance with NYSE American’s listing requirements.
