IsoEnergy Ltd. has completed a strategic transaction with DISA Technologies, Inc. to establish DISA Uranium Corporation, combining IsoEnergy’s permitted, past-producing uranium assets in Utah with DISA’s proprietary HPSA technology platform.
Under the agreement, IsoEnergy contributed its portfolio of conventional uranium mines—including the Tony M, Daneros, Rim, Sage Plain, and Flatiron projects—in exchange for 1.68 million shares of DISA Uranium common stock. The company also invested $33 million in financing and now holds approximately 33% of the new entity on a fully diluted basis, making it the largest shareholder. The Tony M Mine is expected to serve as a near-term operational priority within the Utah portfolio.
DISA Uranium closed a $105 million private placement financing, with participation from Tembo Capital, BHP Ventures, Galvanize Climate Solutions, Valor Equity Partners, Evok Innovations, Halliburton Labs, and Veriten. The capital will support the deployment of DISA’s HPSA technology, which is designed to recover uranium from abandoned mine waste, reactivate conventional U.S. uranium production, and build domestic processing capacity.
The new venture holds a U.S. Nuclear Regulatory Commission license enabling the treatment and recovery of uranium from abandoned mine sites across multiple locations. DISA Uranium’s leadership includes seven directors, with Richard Patricio (IsoEnergy Board Chairman), Philip Williams (IsoEnergy CEO), and George Pyper (Tembo Capital Partner) among the appointees. Former U.S. NRC Commissioner Jeffrey Merrifield also joins the board.
IsoEnergy retains operational exposure to uranium projects in Canada, the U.S., and Australia, including the Larocque East project in Canada’s Athabasca Basin.
