Gulf Resources Inc. said it received a non-compliance notice from NASDAQ after failing to file its quarterly report for the period ended June 30, 2026, on time.
The notice, issued under NASDAQ Listing Rule 5250(c)(1), follows multiple prior defaults. The company had previously been granted an extension until August 31, 2026, to file its Form 10-Q for the quarter ended March 31, 2026, but missed that deadline as well. NASDAQ staff has now required Gulf Resources to supplement its initial compliance plan by Wednesday, according to the notice.
Gulf Resources operates bromine and crude salt production facilities in Shouguang, China, through three wholly-owned subsidiaries. The company has faced a series of regulatory hurdles this year, including prior notices of default for late filings. It received a default notice on April 23, 2026, for failing to file its 2025 annual report on Form 10-K by the deadline, and another on May 26, 2026, for the missed Q1 2026 Form 10-Q.
The company later filed its 2025 Form 10-K on August 17, 2026, resolving that specific default. It also submitted amendments to its 2024 Form 10-K on July 27 and August 24, 2026. Despite these filings, Gulf Resources remains in default regarding both the Q1 and Q2 2026 quarterly reports as of the latest notice.
NASDAQ stated that the compliance notice does not immediately affect the listing status of Gulf Resources' securities. The exchange requires listed companies to submit all mandatory periodic financial reports to the U.S. Securities and Exchange Commission in a timely manner under its listing rules.
