Gledhow Investments plc (AQUIS: GDH) has appointed Cameron Pearce and Sam Quinn as directors, effective immediately, as part of a corporate restructuring announced this month.
Pearce will hold 9,175,595 ordinary shares, representing approximately 5.41% of the issued share capital, while Quinn will hold 5,827,652 ordinary shares, or about 3.43% of the total. The appointments follow the completion of a subscription and share purchase agreement finalized on August 13, 2026.
The company also confirmed a £219,556 reduction in convertible loan notes held by P3 Capital Limited. P4 Capital Limited maintains a 6.50% stake in Gledhow, with an additional 4,792,000 shares potentially issuable upon conversion of remaining loan notes. P3 Capital holds a 12.52% stake, with no further shares expected from loan note conversion.
Gledhow has established an employee share option plan covering 15% of the enlarged share capital. The plan is structured into four tranches of 6.3 million shares each, with vesting prices set at £0.02, £0.03, £0.045, and £0.06. Initial allocations include 45% to Pearce, 35% to Quinn, and 20% to Guy Miller. All options are exercisable at 1 pence per share and remain valid for five years post-vesting, with vesting tied to a 15-trading-day volume weighted average price milestone.
