A director of Community Health Systems Inc. sold 40,000 ordinary shares for a total of $118,400 on August 25, according to a regulatory filing. William Norris Jennings disposed of the stake at prices ranging from $2.945 to $2.975 per share, near the lower end of the company’s 52-week range of $2.40 to $4.43.
The transaction occurred as Community Health Systems reported a second-quarter adjusted loss of $0.19 per share on revenue of $2.83 billion, both below analyst expectations. The company cited weaker elective procedures, an unfavorable payer mix, and delayed insurance payments as contributing factors to the underperformance.
Community Health Systems also lowered its full-year 2026 guidance, prompting Truist Securities to reduce its price target for the stock from $3.75 to $3.25 while maintaining a Hold rating. Jennings retains 38,468 ordinary shares and 275,271 restricted stock units, with the latter vesting in one-third increments annually and convertible to ordinary shares upon his departure from the board or a specified date.
