Hub Cyber Security Completes 1-for-25 Reverse Stock Split

Hub Cyber Security Ltd. completed a one-for-25 reverse stock split of its ordinary shares on Friday evening, the company said, as part of an effort to maintain compliance with Nasdaq's listing standards.

The split took effect at 11:59 p.m. Eastern Time on Friday, with split-adjusted trading expected to begin Monday. Every 25 issued and outstanding ordinary shares converted into one share, and any fractional share entitlements were rounded down to the nearest whole share.

Prior to the reverse split, Hub Cyber Security had approximately 44.9 million ordinary shares outstanding, according to the company's proxy statement filed with the Securities and Exchange Commission on Aug. 4, 2026. Following the conversion, the company's share count decreased to roughly 1.8 million shares, accounting for the elimination of fractional settlements.

The company said the primary purpose of the transaction was to raise the per-share trading price of its stock and satisfy Nasdaq Listing Rule 5450(a)(1), which sets a minimum bid price standard for continued listing.

All shareholders were affected uniformly by the split, with no change to their proportional ownership interests aside from fractional share adjustments, the company said. Derivative securities, including outstanding notes, options, warrants, and restricted share units, will have their exercise prices and the number of issuable ordinary shares adjusted in accordance with their respective terms.

Following the split, the company's ordinary shares will carry a new CUSIP number — M6000J309. Warrants carrying ticker symbols HUBCW and HUBCZ retain their existing CUSIP numbers.

Hub Cyber Security trades under the ticker symbol HUBC on Nasdaq.
