Gauzy Receives Nasdaq Delisting Notice, Plans Appeal

Gauzy Ltd. said Nasdaq sent a delisting notice on September 15 after its ordinary shares closed below $1 for 30 consecutive business days, violating Listing Rule 5450(a)(1). The company also disclosed that Nasdaq staff had warned it on May 19, 2026 about failing to file its Form 20‑F for the year ended December 31, 2025, a breach of Listing Rule 5250(c)(1).

Under Nasdaq rules, the company had until September 14, 2026 to regain compliance with the $1 bid price requirement. Because it did not, Nasdaq said Gauzy is no longer eligible to submit a compliance plan for the overdue Form 20‑F. The delinquent filing itself provides an additional basis for delisting.

Gauzy said it will request a hearing before the Nasdaq Hearings Panel on Tuesday, which would stay any suspension or delisting action while the appeal is pending. During the process, its securities would continue to trade on the Nasdaq Global Market. The company added that its current financial position should support continued listing, though there is no guarantee the Panel will allow the shares to remain listed.
