Auddia Inc. said on Thursday it will hold a special meeting for shareholders on Sept. 23 to vote on the proposed all-stock merger with Thramann.

The merger, announced in July, would combine Auddia and Thramann under a single corporate structure, creating a combined entity focused on AI-driven media technology solutions. Both companies operate in the digital media and artificial intelligence sectors, with Auddia specializing in audio and video processing tools and Thramann in AI-powered content distribution platforms.

Under the terms of the agreement, Auddia shareholders will receive shares in the combined company in exchange for their existing holdings. The deal remains subject to regulatory approvals and other customary closing conditions. Auddia did not disclose additional financial details or pro forma financial impacts from the merger.

The special meeting is scheduled for Sept. 23, with materials and voting instructions to be distributed to shareholders in advance. Auddia said it expects the merger to close by the end of the year, pending necessary approvals.

The proposed transaction underscores the ongoing consolidation trend in the AI and media technology sectors, as companies seek to strengthen their competitive positions through strategic combinations.
