The offering comprises 7,652,175 shares of common stock and 1,043,484 pre‑funded warrants priced at $17.2499 per share, targeting gross proceeds of roughly $150 million before underwriting discounts, commissions and other expenses. The joint book‑running managers have a 30‑day option to purchase up to 1,304,348 additional shares at the same price, less customary discounts.

J.P. Morgan, Piper Sandler, Wells Fargo Securities and Leerink Partners are acting as joint book‑running managers. The registration statement on Form S‑3 was filed with the Securities and Exchange Commission on Feb. 24, 2026 and became effective upon filing.

Closing of the offering is expected on or about Sept. 17, 2026, subject to customary closing conditions. Net proceeds will be allocated to general corporate purposes, including commercialization of the Mint insulin‑delivery system, expansion of manufacturing capacity, research and development, clinical development, product enhancements, working capital and potential strategic opportunities.
