The disclosure, made under the FCA’s Disclosure Guidance and Transparency Rules, confirmed no treasury shares were held. Each ordinary share carries a par value of £0.0001 and confers one vote, subject to proportionate voting restrictions for Non-Qualified Nationals.
Since the last block listing review, 13,965 options were exercised, including 12,965 under the company’s Long-Term Incentive Plan (LTIP) and 1,000 under the Leadership Incentive Plan (LEAD). The fully diluted theoretical share capital stood at 127,928,762 shares, reflecting the conversion of 24,246,715 convertible notes and 153,031 vested but unexercised employee stock options.
