Venture Life Group plc (AIM: VLG) has extended its share buyback programme through September 29, 2026, following the expiry of its previous initiative on July 31, 2026. The London-based healthcare investor plans to repurchase up to 3,871,288 ordinary shares, funded from existing cash resources, with all repurchased shares to be held as treasury stock.
The programme, managed by Cavendish Capital Markets Limited on a broker-managed basis, allows trading decisions to be made independently of the company. The maximum price per share is capped at 5% above the average middle market quotations for the five business days preceding each purchase.
As of August 19, 2026, Venture Life’s total issued share capital stood at 128,860,145 ordinary shares, with 8,427,443 held in treasury, leaving 120,432,702 voting rights outstanding. The company previously repurchased 8,933,943 shares for approximately £6.0 million under the prior programme.
Slater Investments Ltd, the group’s largest shareholder, held 35,048,497 ordinary shares as of May 1, 2026, representing 28.78% of the total issued share capital (excluding treasury shares). If the extended programme is fully implemented, Slater’s stake could reach 30.07%, though the Panel on Takeovers and Mergers confirmed that Rule 9 of the Takeover Code would not trigger a mandatory offer as a direct result of the buyback.
The programme may be paused at any time depending on market conditions, and there is no guarantee it will be completed in full.
