Springfield Properties plc (AIM: SPR) has announced plans to seek shareholder approval for an expanded share buyback program, proposing to purchase up to 5,957,372 ordinary shares on-market. The company’s board also retains the flexibility to extend the total buyback limit to 11,904,240 shares, a figure previously authorized at its October 29, 2025 annual general meeting but not yet exercised.
The proposed buyback would operate within a price range of 0.125 pence per share to 5% above the five-day average middle market price preceding each purchase. Shares acquired would be held in treasury to meet future obligations under employee share schemes, the company stated.
A concert party of existing shareholders currently holds 49,567,751 ordinary shares, representing approximately 41.49% of Springfield Properties’ voting rights. If the full buyback authority is utilized, this stake could rise to roughly 46.08%. Further, if CEO Innes Smith exercises share options for 1,375,958 ordinary shares, the concert party’s voting rights could increase to approximately 46.76%.
The Panel on Takeovers and Mergers has granted a waiver from mandatory offer obligations, contingent on independent shareholder approval. The company confirmed that concert party members will not be permitted to vote on the resolutions. Springfield Properties will hold a general meeting on September 10, 2026, at 12:00 noon to vote on the waiver proposals.
