The U.S. Securities and Exchange Commission has declared effective the registration statement for VerifyMe’s proposed merger with OpenWorld, clearing the way for a shareholder vote on the transaction.
VerifyMe, a Florida-based logistics and brand protection company, plans to combine with OpenWorld, a blockchain-focused firm specializing in real-world asset tokenization. The combined entity will operate under the name OpenWorld, Inc. and trade on Nasdaq under the ticker OPNW.
Shareholders of VerifyMe are scheduled to vote on the merger at the company’s annual meeting on September 24, 2026, at 1:00 p.m. Eastern Time, conducted via live webcast. The record date for eligible stockholders is August 7, 2026.
OpenWorld has recently entered into multiple agreements to support the transaction’s strategic objectives. These include a collaboration with Abstract Foundation to develop an RWA tokenization platform, a partnership with mCloud Technologies Saudi Arabia for operations in the Kingdom of Saudi Arabia, and an agreement with Figure Technology Solutions to tokenize the combined company’s equity securities.
Additional non-binding arrangements include a memorandum of understanding for a tokenized reward point system with properties in Ras Al-Khaimah, UAE, and a letter of intent with Jolt Charge USA Inc. related to electric vehicle charging services.
VerifyMe’s stock closed at $0.722 on Tuesday, down 1.64% from the prior session, while after-hours trading showed no change at $0.708.
