Banco Santander completed the acquisition of Webster Financial Corporation on Wednesday after raising €3.56 billion through a capital increase.
The Spanish bank issued 329.8 million new shares at €10.79 each, representing roughly 2.2% of its share capital before and after the increase. The €3.56 billion capital increase consisted of €164.9 million in nominal value and €3.39 billion in share premium. All new shares were fully subscribed and paid up on the completion date.
Santander’s total share capital now stands at €7.51 billion, with 15.02 billion shares outstanding. Each share maintains a nominal value of €0.50 and carries identical rights. The public deed of execution was filed with the Commercial Registry of Santander, and admission to trading of the new shares was requested on Spanish and foreign exchanges where Santander is listed.
The capital increase via non-cash contributions was approved at Santander’s ordinary general shareholders’ meeting on March 27, 2026. Previous acquisition notices were published on February 3, April 23, and August 5, 2026.
