Public Policy Holding Company Inc. said executives sold shares to cover income taxes on equity awards that vested on August 21, 2026. The sales were disclosed in regulatory filings on Sunday, following the vesting date.
Five directors and senior managers disposed of a total of 9,031 shares at an average price of $10.9359 on the Nasdaq Global Market, according to the company’s filing under Article 19(3) of the UK Market Abuse Regulation. Chief Financial Officer Roeland Smits sold 1,797 shares, while Chief Legal Officer Neal Strum disposed of 1,702 shares at the same average price. Two other executives, Thomas Gensemer and Keenan Austin, each sold 1,797 and 2,033 shares respectively. Ron Starzman, identified as a person discharging managerial responsibilities, received an award of 1,500 common shares under the same plan.
The transactions were conducted in connection with the company’s Amended and Restated 2021 Omnibus Incentive Plan. Public Policy Holding Company provides strategic communications services and serves about 1,500 clients across healthcare, financial services, energy and technology sectors.
