ONE Nuclear Energy LLC finalized its merger with special purpose acquisition company Hennessy Capital Investment Corp. VII, creating a combined entity that will trade on the Nasdaq Global Market under the ticker ONEN. The shareholder meeting of Hennessy VII approved the deal on August 24, 2026, and the combined company began domestication as a Delaware corporation, with ONE Nuclear becoming a wholly-owned subsidiary of the SPAC.
The company's portfolio centers on energy infrastructure that blends natural gas and advanced nuclear technologies. In Louisiana, ONE Nuclear is developing three projects totaling up to 5 gigawatts of capacity. Project Amberjack targets as much as 1 gigawatt of small modular reactor capacity. Project Cayman includes a 2.88‑gigawatt natural gas plant, a 700‑megawatt battery energy storage system and a co‑located data center campus. Project Barracuda consists of a 1.2‑gigawatt natural gas plant, a 300‑megawatt battery storage system and a co‑located 1‑gigawatt data center.
B. Riley Securities acted as financial advisor to ONE Nuclear, while Cohen & Company Capital Markets served as the exclusive financial advisor to Hennessy VII. Richard Taylor, co‑founder, chairman and chief executive officer of ONE Nuclear, said the transaction marks an important milestone and positions the firm to accelerate development of its integrated natural gas and advanced nuclear platform to meet rising demand for reliable baseload power.
