Nuburu, Inc. (NYSE American: BURU) said it will acquire a 70% controlling interest in Italy‑based defence company Tekne S.p.A. The transaction is slated to close in the first week of October 2026, following the Italian government’s Golden Power authorization granted on August 5, 2026.
The acquisition is being financed with €7 million already supplied by Nuburu toward the €9 million total cash requirement for closing. Nuburu indicated that the funding comes from proceeds of its recent public offering, eliminating the need for any further capital raise.
Tekne’s product portfolio includes the Graelion vehicle, currently deployed with fire brigades in Germany and supporting Ukraine’s State Emergency Service in de‑mining operations, as well as the Tactical Bubble electronic‑warfare system adopted by the Italian armed forces.
Management of Tekne reported an estimated $135.4 million in net remaining order value, comprising $148.0 million of active orders less $12.6 million identified as having elevated cancellation risk. These figures are preliminary, unaudited and not presented under U.S. GAAP.
As part of the deal, former Italian Army Chief of Staff General Pietro Serino has signed a commitment letter to serve as Chairman of Tekne upon closing, subject to customary corporate resolutions. The transaction also requires the incorporation of Nuburu Defense Italy S.r.l., a shareholders’ meeting to approve a capital increase at Tekne, and completion of notarial formalities.
Nuburu outlined a timeline for expanding its presence in the United States, targeting the first quarter of 2027 to open a commercial office and demonstration facility in the Washington defence corridor.
