Noah Holdings Limited announced the appointment of Tianjing Zhang as an independent director to its board, effective Friday, replacing Cynthia Jinhong Meng, who is retiring after three years of service. The company confirmed Meng’s departure did not stem from any disagreement with management.
David Zhang, an existing independent director, was re-designated under Hong Kong Listing Rules following an assessment by the Corporate Governance and Nominating Committee. The committee determined that more than two and a half years had elapsed since his January 2024 retirement from Kirkland & Ellis, meeting the criteria under Rule 3.13 for re-designation.
Tianjing Zhang brings nearly two decades of experience in cross-border disputes, regulatory investigations, and compliance. She has served as head of international business at HOZU Capital since May 2025 and previously practiced at Kirkland & Ellis International LLP, where she managed the Shanghai office from January 2012 to April 2025. Zhang holds a Juris Doctor degree from The University of Texas School of Law and is admitted to practice law in California.
The board’s committee compositions were adjusted to include Zhang in the Audit Committee alongside Xiangrong Li and David Zhang, with Li retaining the chair role. The Compensation Committee now includes May Yihong Wu (Chair), Boquan He, and Xiangrong Li, while the Corporate Governance and Nominating Committee features Jingbo Wang (Chair), May Yihong Wu, and David Zhang.
Noah Holdings reported 469,987 registered clients and RMB140.9 billion in assets under management through its asset management units as of June 30, 2026. The company’s shares closed at $8.77 on August 26, 2026, up 0.80%, while after-hours trading showed a decline of 3.76% to $8.44 at 16:30:02.
