Shares of Nexera Technologies fell 19.3% in morning trading, touching a session low of $2.13—a level matching the company’s 52-week low.
The decline came as investors digested the company’s acquisition of a 50.1% stake in Logia USA Inc., a provider of fuel integrity solutions targeting the U.S. data center market. The transaction was structured through Nexera’s majority-owned subsidiary, Fort Technology Inc., which issued 132,603 new common shares valued at roughly $125,000 to complete the deal.
Fort also committed to a $2.0 million unsecured credit facility at 6% annual interest to support Logia USA’s expansion into the U.S. market. The financing underscores the capital-intensive nature of the transaction, which follows Nexera’s broader strategy of pursuing growth through strategic stakes in adjacent businesses.
Nexera Technologies, which carries deeply negative earnings and commands a market capitalization of approximately $1.5 million, has seen its share price decline amid concerns over dilution and execution risk tied to the acquisition. The broader market showed little movement on the day, with the NASDAQ Composite and S&P 500 essentially flat, indicating the slide was stock-specific rather than driven by broader macro factors.
