Nationwide Building Society said on Monday it re-sold 793,651 Core Capital Deferred Shares at £126 each, generating gross proceeds of £100,000,026.
The transaction was priced on Monday and completed the same day, with settlement scheduled for August 27, 2026. The re-sale price of £126 per share includes a £1.904 uplift per share for potential future distributions, the building society said.
The mutual retained 639,504 Core Capital Deferred Shares on its balance sheet after the deal, while the total number of shares in issue remained unchanged. The ISIN for the shares is GB00BBQ33664, and each share has a nominal value of £1.
Nationwide restricted the transaction to UK MiFIR professional investors and eligible counterparties, prohibiting sales to retail investors in the UK and European Economic Area. The announcement was made by Jason Wright, Group Secretary, in accordance with UK Market Abuse Regulation.
The building society had previously repurchased the shares through its open market repurchase facility before re-selling them.
