NANO Nuclear Energy Inc. said on Monday it signed a non-binding Strategic Commercial Framework with Tillman Global Holdings and its data center unit Tillman Digital Gateway to supply advanced nuclear energy systems for planned AI industrial zones in the United States.
Under the agreement, NANO Nuclear’s KRONOS MMR Energy System—a 15 MWe High-Temperature Gas-Cooled Reactor—will be deployed across Tillman’s U.S. facilities. The framework positions NANO Nuclear as Tillman’s anticipated preferred nuclear technology provider for the projects.
The partners aim to develop up to 2 gigawatts of advanced nuclear capacity by the mid-2030s, scaling to at least 6 gigawatts by 2040. Targets are contingent on definitive agreements, customer commitments, financing arrangements, regulatory approvals, and other project prerequisites.
Tillman and its affiliates have secured approximately $16 billion in capital since inception. The framework includes provisions for NANO Nuclear to issue fully milestone-vesting warrants to Tillman, allowing purchases of up to $100 million in common stock. A majority of the warrants will vest upon future binding reactor purchase commitments, with the remainder tied to specified project-development milestones. An initial restricted common stock grant to Tillman with a notional value of $5 million is also contemplated.
The collaboration will focus on site evaluation, licensing and development planning, customer engagement, and project deployment. The parties are also assessing opportunities to extend the partnership to select international markets.
